STUNT PERFORMER'S AGREEMENT



This agreement (hereinafter referred to as the "Agreement") is entered into on this the 26th day of March, 1993 by and between Filmright, Incorporated, whose offices are located at 850 Montana Avenue, Suite 23, Santa Monica, California 90031 (the "Production Company") and Kenneth Phear-Nomore (SS# 457-68-0987) whose residence address is 111 Thoroughbred Lane, Thousand Oaks, California 90876 (the "Stunt Performer").

1. Description of Services--The Production Company hereby engages the Stunt Performer to render services as Nigor's double in conjunction with the motion picture entitled "Invasion From Chunga" (the "Picture") and to perform such activities as required by the Production Company and further described in the shooting script for the Picture. The Stunt Performer accepts such engagement upon the terms herein specified.

2. Compensation, Term and Guarantee--The Production Company agrees to pay the Stunt Performer and the Stunt Performer agrees to accept the following weekly compensation (excluding location premiums) of Three Thousand Dollars ($3,000.00) (and pro rata for each additional day beyond the guarantee until completion of the Stunt Performer's services). The total guaranteed compensation shall be (Six Thousand Dollars ($6,000.00) for the total guaranteed period of two (2) weeks. The Stunt Performer shall receive sixth day location premiums where applicable.

3. Start Date--The term of the Stunt Performer's engagement shall begin on June 5, 1993 or in the alternative on or about June 5, 1993, (the "Start Date") if this Agreement is signed by both parties and delivered to the Stunt Performer at least seven (7) days before the Start Date.

4. Next Start Date--The start date of the Stunt Performer's next engagement is August 15, 1993.

5. Stunt Adjustments--It is understood that the rate of compensation specified may be adjusted depending upon the nature of the stunt activities the Production Company may require. If so, a stunt adjustment will be agreed upon between the parties through good faith bargaining, said adjustments shall be noted on the Stunt Performer daily time report or time card and said reports and/or time cards shall be signed or initialed by the Stunt Performer. Production time reports and/or time cards shall be made available by the Production Company on the set at the beginning and end of each day.

In all such instances, the parties shall agree upon such compensation adjustments before the stunt is performed if they may readily do so; however, it is expressly agreed that production shall not be delayed for the purpose of first determining the compensation for a stunt. Such adjustments shall increase the Stunt Performer's compensation for the week in the manner prescribed in Schedule H-II or H-III of the Screen Actors Guild Codified Basic Agreement.

6. Incorporation of Producer/SAG Collective Bargaining Agreement--All provisions of the Screen Actors Guild Codified Basic Agreement as the same may be supplemented and/or amended to date shall be deemed incorporated herein. The Stunt Performer's engagement shall be upon the terms, conditions and exceptions of said provisions applicable to the rate of compensation and guarantee specified.

7. Ownership of Results and Proceeds--The Production Company shall have the unlimited right throughout the universe and in perpetuity to exhibit the Picture in all media, now or hereafter known, and the Production Company, as the employer-for-hire of the Stunt Performer, shall own all rights in the results and proceeds of the Stunt Performer's services hereunder.

8. Additional Compensation--If the Picture covered hereby is exhibited, containing any of the results and proceeds of the Stunt Performer's services hereunder, in any of the following media:

(a) "Free" television re-runs in the United States or Canada, or both;
(b) Television exhibition anywhere in the universe outside the United States and Canada;
(c) Theatrical exhibition anywhere in the universe;
(d) Supplemental Market exhibition anywhere in the universe; or
(e) Basic Cable exhibition anywhere in the universe.

As to each such medium in which the Picture is so exhibited, the Production Company will pay, and the Stunt Performer hereby agrees to accept as payment in full, the minimum additional compensation provided therefor in the SAG Codified Basic Agreement or Television Agreement, as the case may be.

9. Continuous Employment and Right to Role--If the Stunt Performer portrays a role or has dialogue, the Stunt Performer shall be entitled to "Continuous Employment" and "Right to Role", if any, (as such terms are defined by the SAG Codified Basic Agreement and only to the extent prescribed such agreement). The Stunt Performer shall receive a separate contract for such services.

10. Motion Picture and Television Fund--The Stunt Performer hereby authorizes the Production Company to deduct from the compensation hereinabove specified an amount equal to two percent (2%) of each installment of compensation due the Stunt Performer hereunder, and to pay the amount so deducted to the Motion Picture and Television Fund of America, Inc.

11. Waiver--The Stunt Performer may not waive any provision of the SAG Codified Basic Agreement or Television Agreement, whichever is applicable, without the written consent of the Screen Actors Guild, Inc.

12. Signatory--The Production Company makes the material representation that either it is presently a signatory to the Screen Actors Guild collective bargaining agreement covering the engagement contract for herein, or that the Picture is covered by such collective bargaining agreement under the "Independent Production" provisions (Section 24) of the General Provisions of the SAG Codified Basic Agreement.

The signing of this Agreement in the spaces below signifies acceptance by the Production Company and the Stunt Performer of all of the above terms and conditions as of the date first above written.
